Have you heard of Reg. A-plus? Did you know you can raise up to $50 million using this new option? Do you know about crowd funding options for your business?
Federal rules that went into effect in May 2016 and recent legislation in North Carolina will soon allow for Internet-based offerings to average investors, which means your business has the opportunity to raise money from a wider audience!

Simply speaking, the rules around startup finance are dramatically changing. If your business may need funding in the future, you may want to get up to speed on these changes. In addition, we can answer questions about the basics of incorporating a venture, registering a state trademark and avoiding investment fraud.

Leo John, a representative from N.C. Secretary of State’s Office, and Alex Bowling, a Smith Anderson attorney, can provide general rules on:
    - Corp. or LLC: Picking the Right Entity
    - Securities Regulations and Fundraising
    - Trademarks: Rules and Benefits

ED TIMBERLAKE: TRADE DRESS, TRADEMARKS, BREWERS AND LUNCH

What is so special about a Trademark?

Don’t ask Ed Timberlake (Linkedin) – Board Certified Specialist in Trademark Law.  One glance at his tumblr, twitter or blog will through you off tracj. Ed is a (wait for it…) former Trademark Examining Attorney at the U.S. Patent & Trademark Office, former Copyright Examiner at the U.S. Copyright Office. He focuses entirely on trademarks & copyrights, primarily providing advice, preparing & filing applications, and maintaining registrations.  Ed has a unique and creative approach to this subject.

Ed finds endless fascination in trademarks and will entertain and educate you in this art of drawing the fine line line “where marketing and creative meet”. You have never met an attorney like Ed. One glance at his website will confirm all the fears you have about mountaineering and trademarks:

“Visiting this website isn’t the same as receiving legal advice specific to your situation. One way you know that is because it’s a website, not yet a conversation; the other is that legal advice typically costs money.”

Monica Doss sums it up like this: “My feeling is that, while some businesses have copyright concerns, and a few will face patent issues, every single commercial endeavor needs a trademark strategy. With that in mind, I’d be inclined to focus this session entirely on trademarks (also, they’re my favorite subject).”

I could not agree with Monica more. Trademarks are fascinating, and pretty darn tricky. Come listen to Ed sing his birdsong and show you the hows and whys of plumes of feathers do not always stick together.

From Ed’s blog: Trademarks are Magic or his twitter feed.

You’ve read the headlines in VentureBeat, Exit Event, TechCrunch and the Triad Business Journal —StartupInc. Closes Angel (or VC, or crowdfunding) Financing!”

But, what’s the story behind the story?  Meet three founders – Shawn Gagne, Urban Offset, Kya Johnson, RanbowMe, and Ryan Pratt, Guerilla RF – who will talk candidly about their fundraising strategies and experiences, how they prepared, what they would do differently and what surprised them most.

There will definitely be some myth busting and a lively exchange. Come early and plan to stick around afterwards for food, drink and lots of connecting, HQ Greensboro-style. Pre-registration is highly encouraged..

    Our esteemed panelists:

Shawn Gagne is founder and CEO of Urban Offsets, a software and services company that determines the carbon offset of the trees on city property, enables cities to sell carbon credits, and finds appropriate buyers. Urban Offsets recently closed on a seed round from a private investor, won the 2016 New Ventures Challenge and in 2015 won a $50,000 NCIDEA grant.

Kya Johnson founded her third startup RainbowMe in 2013 as the entertainment platform that aggregates and produces content that exposes young children to a wide variety of cultures and traditions. Following a funded residency from CODE 2040, the RainbowMe team successfully completed a $35K crowdfunding campaign in October 2015 and is currently raising capital.

Ryan Pratt founded Guerilla RF in 2013 to develop high performance MMICs that allow wireless infrastructure equipment manufacturers to provide greater coverage area and higher data rates. Guerilla RF secured a $50K NCIDEA grant, followed by a $1 million angel financing. To date it has raised $5 million in funding and introduced over 50 products.

    Our Plan

    reverse-the-pitch

If you’ve agonized over your investor pitch, you’ll enjoy this opportunity to turn the tables. Funders want you to define and quantify the problem you’re solving, your target customer and your market. They want to be confident about the team and what they bring to the table. Last but not least, how will you make money and how much?

So, we’ve asked 3 different early stage investors to do the same pitch — to you–startups and inventors, as well as peers and potential fund investors. Each will do an 8 minute pitch and we’ll open for a most certainly lively 1 hour Q&A so you can ask your questions about their pitch, your pitch and anything else involved in establishing and maintaining a successful entrepreneur-investor relationship.

    napkin-to-proforma

Admit it.  Developing startup financials can be daunting.  Time and expertise are in short supply, while relevant information ranges from overwhelming to nonexistent. It’s not surprising that founders and aspiring entrepreneurs often wing it, avoid it or wait until an investor or bank makes them do it.

But it doesn’t have to be that way.  You can unlock your own Founder Financial Zen by understanding the “what’s” and the “why’s.”  In this experiential workshop, we’ll work on creating and using stage-appropriate financial information — from an entrepreneur’s perspective.

    • What do you need to know to make decisions?
    • What can you know at different stages?
    • What do you pay hyper-attention to and what can you ignore?
    • And, most importantly, how do you make financial insights work for you – from shaping an early idea through funding and profitability.

This is a hands-on session. Teams welcome.

But what will happen to them if you can't attract top talent, if your key executives need to be replaced, or if you (or your partners) pass away? It’s no secret that the “sales” is a dirty word. Many professionals try to call it something else – Business Development, Marketing, Relationship Development. Still, calling it something else doesn’t change anything.

For those who dislike selling, what we’ve learned over the years is this – They dislike the behaviors they’ve seen demonstrated by others, but essentially they feel as if they’ve no other choice, those actions, while uncomfortable, none the less must be emulated.
Pretend for a moment that sales is a process. And that process is driven by a proven system. And this system and process produce replicable and duplicable results each time.

Joel Kaczmarek, associate with Sandler Training, will break it down and share with you some of the reasons you are uncomfortable, rightfully so, with selling. This program will cover the two systems that are at play, Your System and the Seller’s System are frequently at odds and create discomfort. He will introduce a new and somewhat counterintuitive selling system and will compare and contrast all three.

    • This program is designed for men & women who depend on sales to grow and expand their companies.
    • For people that are frustrated with getting “think it overs” instead of a closed file or sale.
    • Maybe you are doing lots of bids and proposals and still not getting the business. Worse yet, lowering your prices, dropping your margins and still not getting the business or, getting the business and wishing you hadn’t.

Joel Kaczmarek is a business growth consultant with Sandler Training. He works with sales leadership and salespeople on the concept of “change your behavior, change your results.” Joel helps companies grow their business topline and bottom line through the use of a proven sales methodology delivered through the use of repetition and reinforcement.

Sales people are not born. They are developed.

This free, casual and interactive monthly speaker series features entrepreneurs who are "Under 30" sharing their journey to success. February features Chris Padgett, founder and CEO at Fusion3 Designs!

Chris’s involvement with Fusion3 originated from his own personal interest in 3D printing. In his spare time from his work as a product development engineer, he purchased some 3D printer kits to learn about the technology and was disappointed with their build and print quality. After noticing poor design choices in all of the available printers, he started developing his own customized designs.
Chris is also very active in the local and regional entrepreneur communities of the Research Triangle. He presents talks on entrepreneurship often and is proud to be a founding member of the Greensboro Forge – a community makerspace.

Greensboro native and Grimsley High School Alumnus Haley (Simmons) Bohon is bringing her highgrowth startup SkillPop to Greensboro as part of a Spring 2017 tour seeking out new locations for expansion. The four-week tour (April 23 May 20) will include hosting their signature in-person, popup style classes in several cities throughout the Southeast, and all classes will be taught by local makers and thought leaders and hosted in unique venues throughout each city.
Greensboro is the fourth tour city to be unveiled; the rest will be announced one-by-one on SkillPop’s social media accounts. The startup will host a Photography Basics class taught by local photographer Becca Carter at HQ Greensboro, and tickets for a limited number of spots are now available!

    Class Description:
Do you have a DSLR camera, but aren't confident shooting in manual? This class is for you! Over the course of 2 hours, you'll learn beginner photography skills and get some hands-on practice behind your camera. We'll discuss things like ISO, aperture, shutter speed, the rule of thirds, and framing your subjects for beautiful photos. In the second half of the class, we'll go outside for a practice portrait session! This will give you structured hands-on practice behind the lens. You'll leave class with the ability to shoot with your camera in manual mode, allowing you make creative decisions about each photo rather than having the camera call the shots.

    Instructor: Becca Carter
    Materials: DSLR Camera
    Cost: $30

The $207 billion cybersecurity industry is exploding, and many of its sectors are expected to show impressive revenue growth over the next five years. For entrepreneurs seeking a foothold to launch a business, that can spell opportunity.

Connectivity is the secret sauce for innovation, scale and personalization. From your healthcare, to what you're wearing and eating to finance (big and small), transportation and the environment -- and lets not forget all those great Consumer IoT products to make our lives better -- we want our systems and data to be safe and secure.

Experts predict a global shortage of two million cyber security professionals by 2019. In addition, industry sectors from compliance to data storage to online processing are poised for rapid growth. Where do you fit?

    Our expert panel will:

    1. "Demystify" cybersecurity by talking about where the risks are, and (equally important) aren't.
    2. Stimulate conversation about resulting opportunities for entrepreneurs.

    The Plan:

5:00-5:30 Sign in – Local beer, pizza, mingling & networking
    5:30-6:30 Panel Discussion
6:30-7:00 More beverages, & snacks, mingling & networking

Registration is FREE. Pizza and beer are FREE. But pre-registration is REQUIRED. We predict this event will be sold out, so don't wait until the last minute to register! Feel free to share this invite with friends and colleagues.

The Entrepreneurial Journeys Monthly Speaker Series

The founders of Oak City Fish And Chips are the quintessential foodies, constantly craving things delicious! As a group of young serial entrepreneurs, they turned their attention to discovering how they could position themselves to share their passion for amazing food experiences with the people of The City of Oaks: Raleigh, NC.

Isaac B. Horton is a UNC Greensboro graduate and has become a serial entrepreneur. After graduating, he worked for Lenovo at Research Triangle Park, and after only a year, decided to break out on his own to pursue his entrepreneurial journey. Isaac is a cofounder of Oak City Fish and Chips Food Truck, which launched in 2015 and has four food trucks in operation around the city. His company is currently set to expand into Mecklenburg County, as well as Los Angeles. Be on the lookout for The Oak City Fish and Chips brick-and-mortar location, which is set to open in the Morgan Street Food Market in Raleigh, NC in late 2017. Not only is this a huge accomplishment for Isaac and his company, but also helps to make progressive steps in business ownership – this brick-and-mortar will make Isaac the first African American restaurant owner in downtown Raleigh. We’re proud to have Isaac and his team as part of the HQ Community, and we’re excited to have him speak at HQ Greensboro on October 19th as part of UNCG’s Entrepreneurial Journeys Speaker Series!

Sarah Doggett Evenson is creating effortlessly chic clothing as the founder and creative director of Marie Oliver. Sarah’s goal is to make women feel confident in her figure-flattering, draping designs. In late 2012, after years of curating her personal wardrobe and driven by her father’s frequent reminder to “find something you love and learn how to be successful doing it”, Sarah began working with her now husband, Peter, to develop what was a mere childhood dream into a reality… her middle name, “Marie”, and his middle name, “Oliver”. Today, while Sarah oversees all creative aspects of the brand, Peter is responsible for developing and implementing Marie Oliver’s growth strategy and managing day- to- day affairs. Spring 2015 marks the launch of Marie Oliver’s debut collection in specialty boutiques across the US and Ecommerce at www.marieoliver.com.
Marie Oliver is proudly headquartered in Greensboro, NC,  where Sarah and Peter currently reside.
